Important: Please read these Terms of Service carefully before using StreamQuota. By accessing or using our platform, you agree to be bound by these terms. If you do not agree, do not use the platform.

1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the StreamQuota platform ("Platform"), operated by StreamQuota ("we," "us," or "our"). By registering an account, accessing, or using the Platform in any way, you agree to be bound by these Terms and our Privacy Policy.

You must be at least 18 years of age to use this Platform, particularly to participate in any paid tasks or financial transactions. By using the Platform, you represent and warrant that you are 18 or older.

2. Description of Service

StreamQuota is a marketplace platform that connects content creators ("Streamers") with brands and advertisers ("Brands") for the purpose of completing paid promotional tasks. The Platform facilitates:

  • Task listings posted by Brands
  • Applications and task completion by Streamers
  • Payment processing and escrow services
  • Performance tracking and analytics

StreamQuota acts solely as an intermediary marketplace. We are not a party to any agreement between Streamers and Brands, and we do not employ Streamers or Brands.

3. User Accounts

To use the Platform, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain the security of your account credentials
  • Promptly notify us of any unauthorized use of your account
  • Be responsible for all activity that occurs under your account
  • Not create multiple accounts or share accounts with others

We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or harm other users.

4. Streamer Terms

As a Streamer on the Platform, you agree to:

  • Provide accurate Twitch account information and statistics
  • Only apply for tasks you genuinely intend to complete
  • Complete tasks in accordance with the Brand's stated requirements
  • Submit honest, accurate proof of task completion
  • Not artificially inflate your follower counts, viewer numbers, or engagement metrics
  • Comply with all applicable laws, including FTC disclosure requirements (see Section 8)
  • Not engage in any deceptive, misleading, or fraudulent activity

Streamers who submit false proof, inflate metrics, or otherwise defraud Brands will be permanently banned and may be subject to legal action and recovery of any payments made.

5. Brand Terms

As a Brand on the Platform, you agree to:

  • Post only legitimate, lawful tasks
  • Fund tasks in full before they are made available to Streamers
  • Review and respond to proof submissions within the stated timeframe
  • Not post tasks that promote illegal products, services, or activities
  • Not post tasks that are discriminatory, harassing, or harmful
  • Ensure your products and services comply with all applicable laws
  • Not attempt to contact Streamers outside the Platform to circumvent fees

6. Payments, Fees, and Escrow

Escrow: When a Brand posts a task, the full task budget is held in escrow by StreamQuota via our payment processor (Stripe). Funds are released to the Streamer only after successful task completion and approval.

Platform Commission: StreamQuota charges a commission on each completed task. This commission is deducted from the task budget before the Streamer payout is calculated. The exact commission rate is disclosed during task creation.

Streamer Payouts: Payouts are processed in USD. Streamers must connect a valid payment account to receive funds. Payout processing times depend on the payment processor and may take 2–7 business days.

Refunds: Brands may request a refund of escrowed funds if a task is cancelled before a Streamer is accepted. Once a Streamer has been accepted and begun work, refunds are subject to dispute resolution.

Taxes: You are solely responsible for determining and paying any applicable taxes on payments received through the Platform. StreamQuota may issue tax forms (e.g., 1099) as required by law.

Chargebacks: Initiating a chargeback or payment dispute without first contacting StreamQuota support may result in immediate account suspension.

7. Prohibited Activities

You agree not to:

  • Use the Platform for any unlawful purpose
  • Post or transmit any content that is defamatory, obscene, or harmful
  • Attempt to hack, scrape, or reverse-engineer the Platform
  • Use bots, scripts, or automated tools to interact with the Platform
  • Circumvent any security or access controls
  • Impersonate any person or entity
  • Engage in money laundering or other financial crimes
  • Promote products or services that are illegal in the user's jurisdiction
  • Harass, threaten, or abuse other users
  • Attempt to manipulate the Platform's reputation or review system

8. FTC Disclosure Requirements (Sponsored Content)

Legal Requirement: The FTC requires that all sponsored content be clearly disclosed to audiences.

All Streamers completing paid tasks on StreamQuota are required to comply with the U.S. Federal Trade Commission (FTC) guidelines on endorsements and testimonials (16 C.F.R. Part 255), as well as any applicable laws in their jurisdiction.

This means you must:

  • Clearly and conspicuously disclose that content is sponsored or paid for (e.g., "#ad", "#sponsored", "This is a paid promotion")
  • Make the disclosure at the beginning of the content, not buried in descriptions
  • Use clear language that your audience can understand
  • Not make false or misleading claims about any product or service

Failure to comply with FTC disclosure requirements is a violation of these Terms and may result in account suspension. StreamQuota is not liable for any regulatory action taken against Streamers who fail to make required disclosures.

9. Intellectual Property

Your Content: You retain ownership of content you create. By posting content on the Platform, you grant StreamQuota a non-exclusive, worldwide, royalty-free license to display, reproduce, and distribute that content solely for the purpose of operating the Platform.

Our Content: The StreamQuota name, logo, and all Platform content are owned by StreamQuota and protected by intellectual property laws. You may not use our trademarks without prior written permission.

10. Privacy

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the collection and use of your information as described in the Privacy Policy.

11. Disclaimers and Limitation of Liability

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. STREAMQUOTA DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STREAMQUOTA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE PLATFORM.

STREAMQUOTA'S TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO STREAMQUOTA IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100 USD.

12. Indemnification

You agree to indemnify, defend, and hold harmless StreamQuota and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any content you post on the Platform.

13. Dispute Resolution

Informal Resolution: Before filing any formal dispute, you agree to contact us at legal@streamquota.com and attempt to resolve the dispute informally for at least 30 days.

Arbitration: Any dispute not resolved informally shall be resolved by binding arbitration under the rules of the American Arbitration Association (AAA), conducted in English. You waive any right to a jury trial or class action.

Governing Law: These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

14. Termination

We may suspend or terminate your account at any time, with or without notice, for any violation of these Terms or for any other reason at our sole discretion. Upon termination, your right to use the Platform ceases immediately. Any escrowed funds will be handled according to our refund policy.

15. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of the Platform after changes take effect constitutes acceptance of the new Terms.
